Digital Product Licence Agreement

2. Ownership

All Business Pulse Studio™ products remain the exclusive intellectual property of Business Pulse Studio™.

Your purchase grants you a licence to use the product in accordance with this Agreement. It does not transfer ownership, copyright or any intellectual property rights.

All rights not expressly granted remain reserved.

3. Licence Granted

Unless otherwise stated, your purchase includes a non-exclusive, non-transferable licence for:

• Personal use

• Internal business use

• Use within your own organisation

• Modification of the workbook for your own internal business requirements

• Producing reports, calculations and outputs for your own business or clients

You may customise the templates to suit your business provided they remain for your own use.

4. Restrictions

You may not:

• Sell, resell or redistribute our products.

• Share digital files with any third party.

• Upload products to public websites, marketplaces or file-sharing services.

• Include our products within another template, course or digital product.

• Remove or alter copyright notices.

• Copy or reproduce our branding, graphics or product designs.

• Claim any Business Pulse Studio™ product as your own work.

• Reverse engineer or reproduce our products for commercial purposes.

Each purchase is licensed to the purchaser only.

5. Client Work

Consultants, accountants, bookkeepers, virtual assistants and business advisers may use Business Pulse Studio™ products when providing professional services.

You may provide clients with reports, calculations, dashboards and outputs generated using our products.

However, the original Excel workbook or digital files must not be supplied, transferred or shared with clients unless they have purchased their own licence.

6. Business Use

Your licence permits use within your own business or organisation.

If you are purchasing on behalf of a company, employees may use the product internally as part of the organisation's normal business activities, provided the product is not distributed outside the organisation.

7. Updates

Where product updates are included with your purchase, they will be made available through your customer account or the original delivery method.

Major new products or separately released versions are not included unless specifically stated.

8. Intellectual Property

All Business Pulse Studio™ products are protected by copyright and intellectual property laws.

This includes, but is not limited to:

• Microsoft Excel workbooks

• Dashboards

• Formula architecture

• VBA code

• Documentation

• Product names

• Branding

• Logos

• Graphics

• Icons

• Instruction guides

• Website content

Unauthorised reproduction or distribution is prohibited.

10. Disclaimer

Business Pulse Studio™ products are designed to support business planning, financial analysis and decision-making.

Our products are provided for informational and operational purposes only and do not constitute financial, accounting, tax or legal advice.

11. Limitation of Liability

To the fullest extent permitted by law, Business Pulse Studio™ shall not be liable for any indirect, incidental, consequential or special losses arising from the use of our products.

Our total liability relating to any purchase shall not exceed the amount paid for the relevant product.

Nothing within this Agreement limits liability where such limitation is prohibited by applicable law.

12. Termination

This licence will automatically terminate if these terms are breached.

Upon termination, all copies of the relevant product must be permanently deleted and all use must cease immediately.

13. Governing Law

This Licence Agreement is governed by the laws of England and Wales.

Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
